1. Agreement to terms

These Terms of Service ("Terms") are a legal agreement between you and Che Liu ("we", "us", "our"), the provider of Synopsio. By accessing or using Synopsio, you agree to be bound by these Terms. If you do not agree, you must not use the service.

2. Description of service

Synopsio is a knowledge network and collaboration platform for teams. It allows users to create, organise, and interconnect documents, decisions, and skills within shared workspaces. Features, availability, and pricing are subject to change with notice.

3. Account registration and security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorised access or security breach.

By registering on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

4. Acceptable use

You agree not to misuse the service, including but not limited to:

  • Using the service for any unlawful purpose or in violation of any applicable law.
  • Transmitting spam, malware, or other harmful code.
  • Interfering with or disrupting the service, servers, or networks.
  • Attempting to probe, scan, or test the vulnerability of the service without authorisation.
  • Scraping, data mining, or harvesting content in an automated manner without permission.
  • Infringing on intellectual property rights or the privacy of others.
  • Impersonating another person or misrepresenting your affiliation.

5. Intellectual property

All intellectual property rights in Synopsio — including software, design, documentation, branding, and trade marks — are owned by Che Liu. You are granted a limited, non-exclusive, non-transferable licence to use the service in accordance with your selected plan and these Terms.

You retain ownership of the content you create in your workspaces. By uploading content, you grant us a limited licence to host, process, and display it solely for the purpose of providing the service.

6. Payments, subscriptions, and billing

Certain features of Synopsio require a paid subscription. Payment processing, billing, tax, and subscription management are handled by our Merchant of Record, Paddle.com. By subscribing, you agree to Paddle's Buyer Terms, which govern the payment aspects of your purchase.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Subscriptions renew automatically unless cancelled. You may cancel at any time from your workspace billing settings. Fees are non-refundable except as set out in our Refund Policy.

7. Suspension and termination

We may suspend or terminate your access to the service, with or without notice, for: material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations.

Upon termination, your right to use the service ceases immediately. We may retain certain data as required by law or for legitimate business purposes (e.g., billing records). You may export your data prior to termination where the feature is available.

8. Disclaimers and limitations

The service is provided "as is" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the service will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, our aggregate liability shall be limited to the total amount you paid us in the 12 months preceding the claim. We shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, data, or goodwill, except where prohibited by law.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.

9. Indemnity

You agree to indemnify and hold harmless Che Liu from any claims, damages, losses, or expenses arising from your use of the service, your content, or your violation of these Terms.

10. Governing law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Che Liu operates, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.

11. Changes to terms

We may revise these Terms from time to time. The most current version will always be posted on this page. Material changes will be notified via email or through the service. Continued use after changes constitutes acceptance.
